IMPORTANT: PLEASE READ THESE TERMS CAREFULLY

These Terms of Service ("Terms," "Agreement") govern your access to and use of the TextToQuant website, platform, tools, API, MCP server and services (collectively, the "Service"), which are operated by Spekule Ltd. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, accessing our website at texttoquant.com, or using any aspect of our Service, you ("User," "you," or "your") enter into a legally binding agreement with Spekule Ltd, the operator of TextToQuant ("Spekule," "TextToQuant," "TTQ," "we," "us," or "our"), of 12611 Montgomery Blvd NE, Suite A-6B, Albuquerque, NM 87111.

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into this Agreement
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and current

2. Description of Service

2.1 What We Provide

TextToQuant provides a natural language processing tool that allows users to:

  • Convert plain English trading strategies into backtested results
  • Analyze historical market data across cryptocurrency and other financial markets
  • Generate performance metrics and trading statistics
  • Access educational resources, strategy templates and examples

2.2 Data Sources

Our Service utilizes:

  • Historical market data from third party exchanges and data providers, such as Binance and CoinGecko
  • Technical indicators and analysis algorithms
  • Monte Carlo simulation for strategy validation

Market data comes from third parties. It may contain gaps or errors, and we do not guarantee its accuracy or completeness.

2.3 AI Strategy Parsing

When you describe a strategy in plain English, a third party AI model (currently provided by OpenAI) translates your description into the rules the backtest runs. That translation can be wrong: it may misread a condition, pick a different indicator setting, or leave out part of what you wrote. The parsed strategy is shown to you with every result. You are responsible for checking the parsed strategy before you rely on any result. A result is only a test of the rules as parsed, not of what you intended.

2.4 Service Availability

We strive to maintain 24/7 availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance
  • Technical difficulties
  • Third party service disruptions
  • Events beyond our reasonable control

3. CRITICAL DISCLAIMERS AND RISK WARNINGS

3.1 NOT FINANCIAL ADVICE

IMPORTANT: THE SERVICE IS PROVIDED FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

  • TextToQuant is NOT a registered investment advisor, broker dealer, or financial institution
  • We DO NOT provide investment advice, recommendations, or financial planning services
  • Nothing on our Service constitutes a recommendation to buy, sell, or hold any cryptocurrency, security, or other financial instrument
  • All information is provided "as is" for educational purposes only
  • You are solely responsible for your own trading and investment decisions

3.2 TRADING RISKS

CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS.

You acknowledge and understand that:

  • Total Loss is Possible: You can lose some or all of your invested capital
  • Volatility: Cryptocurrency markets are highly volatile and unpredictable
  • No Guarantees: Past performance does NOT indicate future results
  • Backtesting Limitations: Historical backtesting does not guarantee future success
  • Market Risk: Prices can move rapidly against your position
  • Liquidity Risk: You may not be able to exit positions when desired
  • Technical Risk: Platform outages, system failures, or errors can occur
  • Regulatory Risk: Cryptocurrency regulations are evolving

3.3 BACKTESTING DISCLAIMERS

BACKTESTING RESULTS HAVE INHERENT LIMITATIONS:

  • Hypothetical Nature: Backtests are based on historical data and simulated trading
  • Hindsight Bias: Strategies optimized on historical data may not work in live markets
  • Overfitting: High historical performance may indicate over optimization
  • Market Conditions: Historical market conditions may not repeat
  • Execution Differences: Real trading involves slippage, fees, and liquidity constraints
  • Data Quality: Results depend on accuracy of historical data
  • Survivorship Bias: Historical data may not include all relevant market information

OUR MONTE CARLO VALIDATOR helps identify potentially overfitted strategies but does not eliminate risk or guarantee future performance.

4. User Accounts and Responsibilities

4.1 Account Creation

To access certain features, you must:

  • Provide accurate registration information
  • Create a secure password
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activity under your account.

4.2 Prohibited Uses

You agree NOT to:

Security and Abuse:

  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service, other than through our official API keys and MCP server, within the limits of your plan, or with our written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Introduce malware, viruses, or harmful code

Content and Conduct:

  • Upload or transmit unlawful, harmful, threatening, abusive, or defamatory content
  • Impersonate any person or entity
  • Violate intellectual property rights
  • Engage in market manipulation or illegal trading activities
  • Use the Service to commit fraud or other illegal acts

Commercial Misuse:

  • Resell or redistribute access to the Service without authorization
  • Use the Service to build competing products or services
  • Share your account credentials with others
  • Create multiple accounts to circumvent limitations

5. Intellectual Property Rights

The Service and all content, features, and functionality are owned by Spekule Ltd or our licensors and are protected by United States and international copyright laws, trademark laws, patent laws, trade secret laws, and other intellectual property rights.

We grant you a limited, non exclusive, non transferable, revocable license to access and use the Service, within the features and limits of your plan, for your own trading research, whether for yourself or for your own business. Use by several people, white label use, and any other use a plan does not include (for example on behalf of clients) require a plan that includes it, such as Enterprise, or our written agreement.

You may access the Service programmatically, including from AI agents, only through our official API keys and MCP server, on a plan that includes that access and within its rate limits and usage limits. You are responsible for all activity carried out with your API keys and connected agents.

6. Fees and Payment Terms

6.1 Free Accounts and Paid Plans

A free account includes a one time allowance of backtests for the life of the account, and lets you browse strategy templates and example results. That allowance does not renew, and it is offered only to accounts that have never held a paid plan: an account whose paid plan ends or is cancelled does not receive it. Continuing beyond it requires an active paid subscription; each paid plan includes a monthly backtest allowance, and prepaid credits (section 6.4) top it up. Current plans, allowances and prices are displayed on our pricing page.

6.2 Payment Processing

  • Card payments are processed by Whop. Cryptocurrency payments are processed by NOWPayments. We never receive or store full card numbers
  • By subscribing, you authorize recurring charges to your payment method until you cancel
  • Fees are billed in advance on a recurring basis
  • All fees are in U.S. Dollars unless otherwise stated
  • You can cancel at any time from your account settings. Cancelling stops future renewals, and you keep access until the end of the period you have already paid for

6.3 Refund Policy

PAYMENTS ARE NON REFUNDABLE.

  • Subscription fees and credit purchases are not refunded, in whole or in part, except where required by applicable law
  • We do not refund partial subscription periods, unused monthly allowance, or unused credits

Nothing in these Terms removes any right to a refund or remedy that you have under consumer protection law and that cannot be excluded by contract.

6.4 Credits

  • What credits are: prepaid credits that accounts with an active metered subscription (Pro, Power or Quant) can buy to run more backtests than their plan's monthly allowance includes. Your monthly allowance is always used first, and credits only after it runs out
  • What a credit is spent on: one credit pays for one backtest run, whether started on the website, through the API or through the MCP server. A portfolio run uses one credit per asset. Advanced robustness jobs (such as parameter sweeps, walk forward optimisation and multi asset robustness) use several credits each, as stated in the product. Parsing a strategy and viewing results do not use credits
  • No expiry: credits do not expire. They carry over from month to month and stay on your account if your subscription lapses, ready to use again once it is active
  • No cash value: credits have no cash value, are not transferable, and cannot be sold, exchanged or redeemed for money
  • Not refundable: credit purchases are not refundable, except where required by applicable law
  • Failed and cancelled runs: credits spent on a run that fails, or that you cancel before it starts, are returned to your balance automatically. A run you stop while it is running is returned only if it delivers no result. A run that completes uses its credits, whatever its result, including a result with no trades
  • Refunds, chargebacks and disputes: if a payment for credits or a subscription is refunded, charged back, disputed or reversed, we may remove the credits it paid for from your balance and may suspend or close your account
  • Termination: if we terminate your account for a breach of these Terms, any remaining credits are forfeited

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

7.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, SECURITY, OR NONINFRINGEMENT.

7.2 Disclaimer of Consequential Damages

WE SHALL NOT BE LIABLE FOR ANY:

  • Loss of profits or revenue
  • Loss of data or business opportunities
  • Trading losses or investment losses
  • Indirect, incidental, or consequential damages
  • Special or punitive damages

7.3 Maximum Liability Cap

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED: The greater of (a) $100 USD or (b) the amount you paid us in the 12 months prior to the event giving rise to liability.

8. Dispute Resolution and Arbitration

8.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at info@spekule.com to seek an informal resolution.

8.2 Binding Arbitration

YOU AND SPEKULE LTD AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL BE RESOLVED THROUGH BINDING ARBITRATION, not in court, except for small claims court disputes, intellectual property disputes, or requests for injunctive relief.

8.3 Governing Law

These Terms are governed by the laws of New Mexico, United States, without regard to conflict of law principles. If arbitration does not apply, exclusive jurisdiction lies in state or federal courts located in Bernalillo County, New Mexico.

9. Suspension, Termination and Account Deletion

We may suspend or terminate your access if you breach these Terms, including by misusing the Service, abusing the API or MCP server, or charging back or disputing a payment you authorized. You may stop using the Service at any time, and you can download a copy of your data and delete your account yourself from your account settings (Profile). Deleting your account removes your strategies, backtests and remaining credits, and cannot be undone.

10. CFTC Rule 4.41: Hypothetical or Simulated Performance Results

U.S. GOVERNMENT REQUIRED DISCLAIMER

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, BECAUSE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER OR OVER COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS, IN GENERAL, ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN.

11. Educational Purpose Statement

THE SERVICE IS PROVIDED FOR EDUCATIONAL PURPOSES ONLY.

Our tools are designed to help you:

  • Learn about trading strategy development
  • Understand technical analysis concepts
  • Practice strategy backtesting without placing real trades
  • Develop analytical and critical thinking skills

The Service is NOT designed to:

  • Generate trading signals
  • Execute trades automatically
  • Provide market timing advice
  • Guarantee any financial outcome
